Terms of Service

These terms govern your use of the platform operated by ONLAINEZ ("we", "us", "our"). By creating an account or using our services, you agree to these terms. Additional terms may apply depending on the modules activated on your account (see annexes below).

1. The Platform

We provide a modular Software-as-a-Service (SaaS) platform that may include clinic management, pharmacy operations, online store, content management, and related business tools. The specific features available to you depend on your subscription plan and the modules activated on your account.

2. Account Registration

You must provide accurate and complete information when creating an account
You are responsible for maintaining the confidentiality of your login credentials
You must notify us immediately of any unauthorized use of your account
One legal entity per account. Shared credentials are not permitted for operations that require individual accountability
You must be at least 18 years old to create an account

3. Subscription Plans and Payment

Access to the platform requires an active subscription plan or an active free trial
Plans are billed monthly. Prices are listed on our website in EUR (Europe) and USD (Latin America)
Payments are processed by Stripe Inc. We do not store credit card data on our servers
You may upgrade, downgrade, or cancel your plan at any time. Changes take effect at the next billing cycle
Free trial periods, when offered, do not require payment information until the trial ends. At the end of the trial, your account will be downgraded unless you subscribe
We reserve the right to change prices with 30 days advance notice via email. You may cancel before the new prices take effect
Failed payments will be retried for up to 7 days. After that, your account may be suspended

4. Your Content and Data

You retain full ownership of all data and content you upload to the platform ("Your Content"). This includes but is not limited to: text, images, documents, records, and any other material you create or upload.

You grant us a limited, non-exclusive license to store, process, back up, and display Your Content solely to provide the platform services
We will not access, use, or share Your Content for any purpose other than providing and improving the services you subscribed to
You may export Your Content at any time through the platform's data export features
Upon account termination, we will retain Your Content for 30 days to allow export, then permanently delete it from our servers and backups within 60 days

5. Intellectual Property and Uploads

Your uploads

By uploading images, documents, or other content to the platform, you confirm that:

You own the content or have obtained the necessary rights, licenses, or permissions to use it
The content does not infringe any third party's intellectual property, privacy, or other rights
You accept full responsibility for any content you upload

Our platform

The platform software, design, code, documentation, and branding are our intellectual property or licensed to us. Your subscription grants a non-exclusive, non-transferable, revocable right to use the platform during the subscription period. You may not sublicense this right.

Copyright claims

If you believe content on the platform infringes your intellectual property rights, contact us at copyright@onlainez.net with:

A description of the copyrighted work
The location of the infringing content on our platform
Your contact information and a statement of good faith

We will remove or disable access to infringing content within 48 hours of receiving a valid claim, in accordance with EU Directive 2019/790 and the US DMCA.

6. Acceptable Use

You agree not to:

Use the platform for unlawful purposes or in violation of applicable regulations
Attempt to access data belonging to other accounts or networks
Reverse engineer, decompile, or attempt to extract the platform's source code
Upload malicious content (viruses, malware, scripts) or content that violates third-party rights
Use automated tools to scrape, crawl, or extract data from the platform without written authorization
Share login credentials or provide access to unauthorized persons
Resell or redistribute platform access without our written consent

7. Data Protection

We process personal data in accordance with our Privacy Policy and Regulation (EU) 2016/679 (General Data Protection Regulation — GDPR). Key points:

Your data is processed within the European Economic Area (EEA)
You have the right to access, rectify, delete, restrict processing, and export your personal data
We act as data processor for data you enter on behalf of your clients or patients. You are the data controller
A Data Processing Agreement (DPA) as required by GDPR Article 28 is available upon request

8. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service
Scheduled maintenance will be communicated at least 24 hours in advance via email or in-app notification
We are not liable for interruptions caused by third-party services (hosting providers, DNS, payment processors, email delivery)
In the event of a data breach affecting your data, we will notify you within 72 hours as required by GDPR Article 33

9. Limitation of Liability

The platform is provided with professional diligence but without warranty of fitness for a specific regulatory purpose
We are not liable for business decisions made using platform data
We are not liable for indirect, incidental, special, or consequential damages, including loss of revenue, data, or business opportunities
Our total aggregate liability for any claim arising from these terms is limited to the subscription fees you paid in the 12 months preceding the claim
Nothing in these terms excludes or limits liability for fraud, gross negligence, death, or personal injury caused by our negligence

10. Termination

You may cancel your subscription at any time. Access continues until the end of the current billing period
We may suspend your account immediately for serious violations of these terms (security threats, illegal activity). For other violations, we will provide 14 days written notice
Upon termination, you have 30 days to export your data. After that period, data is permanently deleted
Provisions regarding intellectual property, limitation of liability, governing law, and data retention survive termination

11. Governing Law and Disputes

These terms are governed by the laws of the Federal Republic of Germany and applicable European Union regulations. Any disputes shall be resolved in the competent courts of Bavaria, Germany.

For consumers within the EU: this choice of law does not deprive you of the protection of mandatory consumer protection laws in your country of residence.

12. Changes to These Terms

We will notify you of material changes at least 30 days in advance via email. The updated terms will be published on this page with a new "last updated" date. Continued use of the platform after the effective date constitutes acceptance. If you disagree, you may cancel your subscription before the effective date without penalty.

13. Module-Specific Terms

Depending on the modules activated on your account, additional terms apply. These annexes form part of these Terms of Service:

Healthcare Module — additional terms regarding health data, clinical responsibility, and patient consent
Pharmacy Module — additional terms regarding pharmaceutical regulations, controlled substances, and prescription handling
Shop Module — additional terms regarding e-commerce, consumer rights, returns, and payment processing

If there is a conflict between the base terms and a module annex, the module annex prevails for matters within its scope.
